Service Agreement for The Technology Mechanics

Welcome to The Technology Mechanics. By accessing our website and using our services, you agree to comply with and be bound by the following terms and conditions. Please review these terms carefully.
The Technology Mechanics provides IT managed services, cloud solutions, cybersecurity services, AI and automation consulting, training programs, service bundles, and GAP technology support. The specific services, deliverables, timelines, and pricing will be outlined in individual service agreements or statements of work.
All services are subject to the execution of a formal service agreement between The Technology Mechanics and the client. Service terms, including scope, duration, and pricing, will be specified in the agreement. Monthly or annual service contracts may be subject to minimum commitment periods as outlined in individual agreements.
Payment for services is due according to the terms specified in your service agreement. Standard payment terms are net 30 days from invoice date unless otherwise agreed. Late payments may be subject to interest charges and/or suspension of services. All fees are non-refundable except as specifically outlined in your service agreement.
Our commitment to service quality is outlined in Service Level Agreements provided with managed service contracts. SLAs specify response times, uptime guarantees, and support availability. Specific SLA terms vary by service package and will be detailed in your service agreement.

The Technology Mechanics is committed to protecting your confidential information and data. We implement industry-standard security measures to safeguard client data. Both parties agree to maintain confidentiality of proprietary information shared during the course of service delivery. Our data handling practices comply with applicable data protection regulations.
All intellectual property rights in materials, documentation, and deliverables created by The Technology Mechanics remain our property unless specifically transferred in writing. Clients retain ownership of their data and proprietary information. We may use generic knowledge and experience gained during service delivery for other clients.
The Technology Mechanics' liability is limited to the amount paid by the client for the specific services giving rise to the claim in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages. This limitation does not apply to damages caused by gross negligence or willful misconduct.
We reserve the right to modify our services, pricing, and terms with reasonable notice to clients. Either party may terminate services according to the terms specified in the service agreement. Upon termination, clients are responsible for payment of all services rendered through the termination date.
We warrant that our services will be performed in a professional manner consistent with industry standards. Services are provided "as is" except as specifically warranted in your service agreement. We do not warrant that services will be uninterrupted or error-free.
Neither party shall be liable for failure to perform obligations due to circumstances beyond their reasonable control, including natural disasters, acts of government, telecommunications failures, or other force majeure events.
Any disputes arising from these terms or services provided shall first be addressed through good faith negotiation. If resolution cannot be reached, disputes may be submitted to mediation before pursuing legal action.
These terms and conditions are governed by the laws of the jurisdiction in which The Technology Mechanics operates, without regard to conflict of law principles.
We reserve the right to update these terms and conditions at any time. Changes will be posted on this page with an updated effective date. Continued use of our services after changes constitutes acceptance of the modified terms.
